These Terms and Conditions are entered into between Eldercare Coordinator, Inc. and you. You expressly represent that you are of legal age and you are not prevented by any law from entering into this Terms and Conditions. If you are accessing the Site on behalf of another person, you represent that you are authorized to accept these Terms and Conditions on that person's behalf. Unless explicitly stated otherwise, these Terms and Conditions will govern your use of any new features that augment or enhance the current services, including the release of new products or services.
1. Definitions: In addition to the terms defined throughout these Terms and Conditions, the terms "we", "us" and "our" refer to Eldercare Coordinator, Inc. The terms “you” and “your” refer to you the user of this Site.

Your use of this Site following any Changes constitutes your agreement to follow and be bound by these Terms and Conditions as changed.
3. Eligibility: Only individuals who are competent to enter into legally binding contract can use this Site. You must be a registered user to use this site and to avail the services available on this Site.

8. Registration: To use certain services provided through this Site, you must register as a user of this Site. At the time of registration, you will be asked to choose a User ID and password. Registration is free for all Care Recipients. However if you register as a Caregiver or a Service Provider, we will charge you for placements or lead respectively. Please refer to the Caregiver and Service Provider pages for the fees. We reserve the right to change the fees at anytime without any prior notice to you. Please check this Site regularly for any fee change.
9. User ID & Password: You must protect your User ID and password needed to access certain sections of this Site, You expressly authorize us to assume that any person using the Site with your User ID and password either is you or is authorized to act for you. You must notify us as soon as the you becomes aware of any unauthorized use of your User ID and password, and in such circumstances, you expressly agree not hold us liable for any losses arising as a result of such breach or unauthorized use
10. Feedback System: We provide a feedback system for all users. Please do not do anything that will undermine the integrity of the feedback system. You acknowledge that the feedback system is important in enabling users in choosing a caregiver or service provider. When you register as a caregiver or a service provider, you agree to receive feedbacks from other users who have availed of your services using this Site. The feedback will be accessible to general public who visit this Site and to other users of this Site. The feedbacks are provided by other users and we have no control over them. You expressly agree not to hold us liable for any of the feedbacks by other users.
11. Profile Posting: When you register as a caregiver or service provider on this Site, you can post your profile on this Site. When you post your profile on this Site, you represent that all information you post on your profile is true and current. You expressly agree not to create false profiles of any third party or fictitious profiles. You agree to allow other users of this Site to view your profile and contact you using this Site. You warrant that the information posted on your profile does not violate any State, Federal or International law.
12. Profile Browsing: When you browse profiles of other users on this Site, you expressly acknowledge that the information posted on the profiles is posted by the respective users. We do not have any method of ascertaining the accuracy of the information posted on the profiles. You act on such information at your own risk. You expressly warrant that you will not use the information posted on the profiles of other users to harass the other users or for any illegal purpose.
13. Links: This Site may contain to links to other external sites which do not belong to us. We do not verify the contents of such sites. We have no control over such sites. Your use of such other sites is solely at your risk. Your use of such sites is governed by their respective terms and conditions.
14. Platform: The Site acts as a platform connecting Care Recipient and Caregivers/Service Providers in a virtual marketplace. We only provide the platform and are not directly involved in the actual transactions between users of the Site. We are a neutral facilitator and have no control over the authenticity of the postings made on the Site by users nor do we vouch for the same. We cannot and does not confirm the identification details of users, except those details provided by the users at the time of registration. We also do not confirm nor verify the qualifications, background, or abilities of users. You should be careful and exercise common sense and good judgment when dealing with any user on the Site. You deal with the other users at your own risk. It is your sole responsibility to meet your payroll, tax and legal requirements arising out of any transaction you enter into with other users of this Site and you agree not to hold us responsible for the same.
15. Liability: All content and services provided on or through this site are provided "as is" and "as available" for your use. The content is provided without warranties or conditions of any kind either express or implied, including but not limited to implied warranties and conditions of merchantability, fitness for a particular purpose or non infringement. Your use of this site is solely at your risk. We shall in no event be liable to you for any indirect, special, punitive, incidental, reliance, exemplary or consequential damages, loss of profits, loss of expected savings, or any other non-direct damages howsoever caused from your use of the contents of the Site. c) you use pornographic or otherwise illegal content on your profile.

Choice of law: These Terms and Conditions shall be deemed to have been made and performed exclusively in the State of New Jersey and shall be governed by and construed under the laws of New Jersey and the laws of United States applicable therein without giving effect to its conflict of laws principles. You hereby submit to the exclusive forum, jurisdiction and venue of the courts of New Jersey for any claim related hereto, arising herefrom or in connection herewith and agree not to bring any action, claim, suit or proceeding against us or any officer, director, partner or employee thereof in any jurisdiction other than State of New Jersey.
20. General: Our failure to insist upon or enforce strict performance of any provision of these Terms and Conditions shall not be construed as a waiver of any provision or right. You expressly agree that no agency relation is created or established by your use of this Site. If for any reason a court of competent jurisdiction finds any provision of these Terms and Conditions or portion thereof to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of these Terms and Conditions, and the remainder of these Terms and Conditions shall continue in full force and effect.
